1.1   In the rest of this document, the term  << AuctionsForBusiness >> will refer to the legitimate owner(s), operators and developers of this site.

1.2   This User Agreement is a legally binding agreement between you and AuctionsForBusiness.  If you do not agree to the Terms, do not access,browse or use the Website.

1.3  AuctionsForBusiness may amend the Terms from time to time without notice to you.

1.4 Any Violation of the Terms in this Contract, will give AuctionsForBusiness the right to immidiately terminate an account. Customers with terminated memberships, will continue to owe us any money which they owed to us before termination.

1.5 Registered Customers, Freelancers and Services Providers must ensure that the details provided during registation and/or afterwards (i.e. First and Last Name, VAT,Address) are true.
  


2. Services
 
2.1  AuctionsForBusiness, in its sole discretion, may terminate your license to use the Website for any reason without prior notice to you. You acknowledge and agree that AuctionsForBusiness may immediately bar your further access to the Website. AuctionsForBusiness will not be liable to you or any third party for any termination of your access and/or use of the Website.

3. Posting Information on AuctionsForBusiness 

3.1 You must be a Registered User in order to post information on the Website.

3.2 Basic requirements

• Official Site Language is the  English
• All prices must be in Euros 
  
• Sellers must declare the locations that are willing to ship their products.
• Sellers must declare if their goods are new or used. 
• Sellers must ensure that the goods that they are auctioning belong to them and/or that they have approval from the goods owner(s).
• Sellers must ensure that the description and photographs of the items auctioned is accurate. 
• Sellers are allowed to cancel a product or services auction before the end of the auction, only in the cases that no bids have been placed by other users.
• Sellers must ensure that all products auctioned must be shipped to the successful bidders, after the end of the auction, and upon receipt of the payment from the successful bidder.
• Sellers and Buyers must ensure that all communication regarding either Service or Product auctions will take place only through the Site’s Messaging System
• All Users (Sellers and Buyers) must be over 18 years old.
• Personal Information including Names,emails,addresses are not allowed to be posted inside the auction description.

3.3 What is not allowed to post

• Body parts & organs
• Pirated materials and products
• Copyrighted Materials (images & texts)
• Counterfeit Designer Items (replicas or imitation of designer products)
• Fake Documents
• Illegal Goods and Services
• Personal Information about another individual
• Prescription Drugs
• Prostitution
• Currency Exchanges
• The same or very similar content several times (even in different categories)
• Miscategorization
• Meaningless title & description
• Test items unless your store is put on-hold
• Free items and items with prices that are not "real"
• Items that are not for sale
• Pre-order items
• Firearms & ammunition
• Tobacco and cigars for smoking
• Alcohol and Drinks
• Live animals
• Mod chips or mod chips accessories
• Advertisements regarding personal or corporate sites and blogs
• Copied or Cloned Software and Hardware devices
• Fake project requests 
• Projects which may perform harm (i.e. Computer Virus, Spam)

 
3.4 All products from affiliate websites will receive lower rank in AuctionsForBusiness searches and categories in the main AuctionsForBusiness marketplace. Affiliate website is a website provided with products, images and texts from another company to sell their products. Dropshippers and distributors are considered as affiliate too.
3.5 AuctionsForBusiness reserves the right in its sole discretion to remove any material displayed on the Website which it reasonably believes is unlawful, could subject AuctionsForBusiness to liability, violates this Agreement or is otherwise found inappropriate in AuctionsForBusiness's opinion. In connection with any of the foregoing, AuctionsForBusiness may suspend or terminate the Account of any user as AuctionsForBusiness deems appropriate in its sole discretion.

3.6 Users are the only responsible for the contents of their transmissions,messages,products and services  through the service. You must ensure that  participation in the selling or buying of products and services does not violate any applicable laws or regulations. Sellers and Buyers  must check that are entitled to sell or buy the relevant items/services and that are not prohibited from this  by laws or regulation.

3.7 Unlawful, harassing, libellous, abusive, threatening, harmful, vulgar, obscene or otherwise objectionable material must not be exchanged through the service. You must also not transmit any material that encourages conduct that could constitute a criminal offence, give rise to civil liability or otherwise violate any applicable law or regulation.

3.8 If your membership is terminated for any reason, you will continue to owe us any money which you owed to us before termination.

3.9 AuctionsForBusiness has a non-exclusive, worldwide, royalty-free, irrevocable, sublicenseable (through multiple tiers) right to exercise all copyright and publicity rights, in any existing or future media, known or unknown, over the material or User Data displayed in any Users' listings or bids.
3.10 Users are not allow to  Resale the service.
3.11 Any action or listing technique designed to circumvent or avoid payment of the AuctionsForBusiness commission fees is strictly prohibited  Examples:

• Listings with low prices but unreasonably high postage or packing costs.
• Listings with additional purchases
• Email address, phone number or web site address in the listings-
• Listings of catalogues from which buyers may directly order items are prohibited.

 
3.12 Users are not allowed to post duplicated auctions for the same products/services in order to increase their rankings and other users' interest.

3.13 Users are not allowed to post auctions which include banners and/or advertising links for other sites. Banners can be posted only using the AuctionsForBusiness official advertising system.
4. Transactions between Buyers and Suppliers
 
4.1 Through the Site, AuctionsForBusiness provides an electronic web-based platform for exchanging information between buyers and suppliers of products and services. AuctionsForBusiness does not represent the seller nor the buyer in specific transactions. As a result, AuctionsForBusiness does not control and is not liable to or responsible for the quality, safety, lawfulness or availability of the products or services offered for sale on the Website or the ability of the suppliers to complete a sale or the ability of buyers to complete a purchase.
 4.2 Users are hereby made aware that there may be risks of dealing with people acting under false pretences. AuctionsForBusiness uses several techniques to verify the accuracy of the information our users provide us, only if this is specifically requested by them.  The Verified Tag on a user’s profile denotes that some verification steps have been made by the AuctionsForBusiness employees (i.e. ID Fax, email electronic proof of residence, phone calls, and Postage letters). However, because user verification on the Internet and across countries is difficult (e.g. cases of counterfeit IDs and passports which can be faxed exist), AuctionsForBusiness cannot ensure each user's purported identity. We encourage you to use common sense, to evaluate with whom you are dealing.
 
4.3 Each user acknowledges that it is fully assuming the risks of purchase and sale transactions when using the Website to conduct transactions, such risks shall include, but are not limited to, mis-representation of products and services, fraudulent schemes, unsatisfactory quality, failure to meet specifications, defective products, delay or default in delivery or payment, cost mis-calculations, breach of warranty, breach of contract and transportation accidents ("Transaction Risks"). Each User agrees that AuctionsForBusiness shall not be liable or responsible for any damages that may arise a result of or in connection with any Transaction Risks.

 
5. Security and Privacy
5.1 This site features security measures in place to protect against the loss, misuse or alteration of the information under our control. AuctionsforBusiness uses firewall-protected servers and SSL encryption, providing a secure data transfer and storage environment. Sensitive User Information given to AuctionsforBusiness such as credit card data is protected and stored within this secure environment, allowing no unauthorized access. Sensitive User Information under our control is accessed only by authorized personnel within AuctionsforBusiness, as requested or authorized by the User. We will continue to integrate new technologies and equipment to stay above the industry standard. However, there are always potential security risks when doing business on the Internet.

5.2 How information is used

Internal

The information provided in your profile can be used in a statistical manner only by the employees and owners of AuctionsForBusiness, these statistics will never associate with an individual user.

Disclosure 

When it is required by law, or in order to enforce the Terms of this site, AuctionsForBusiness may disclose information about its users to law enforcement officers or others.

6. User Choice to Opt-Out

6.1 Users may opt-out of receiving communications from AuctionsForBusiness, simply by contacting our Customer Support. Users may custom arrange their auction event email notices by choosing this in the appropriate Auction Categories.

 
7. Advertising

7.1 AuctionsForBusiness enables users to advertise their shops and e-business through advertising system. Our Advertising system is a paid service.   Advertisers must ensure that their banners does not include the things described on 3.3 of this document.
7.2 This web site may contain links to third-party web sites. AuctionsForBusiness does not control nor always review the web sites to which we link from AuctionsForBusiness. AuctionsForBusiness, therefore, cannot endorse the content, products, services, practices, policies, or performance of the web sites we link to from AuctionsForBusiness, and Users should not treat any link as such an endorsement or acceptance of veracity or value.

8. Referral Commissions

8.1 The referral commission paid out is in a form of free access to our services and not in any monetary and/or any other form.  You may not refer yourself, nor sign up for multiple accounts to collect referral fees. You may also not partner with any other AuctionsForBusiness user to share/transfer the commission made from your own account, or else both parties will be immediately suspended from the service without payment. AuctionsForBusiness reserves the right to delay or cancel sending affiliate earnings if it believes the referred User will not pay the fees they were charged, since affiliate commissions are based on those fees.


9. Escrow Payments

9.1 AuctionsForBusiness is not a real escrow service. AuctionsForBusiness does have, however, a special, non-compulsory paid feature, which allows controlled payments to be made with a project to a Freelancer. At your request, AuctionsForBusiness will accept an advance payment from a Seller for a project. We will hold such funds ("Escrow Payments") until the Seller and the Buyer (Freelancer) agree that the funds should be released to the Buyer or until the Seller and the Buyer have concluded the process of the Dispute Resolution Services (as defined below) Once a Hirer instructs AuctionsForBusiness to pay a Buyer (Freelancer) that performed a service for him/her, the Service Seller acknowledges that the Buyer (Freelancer) has completed the service fully and satisfactory. AuctionsForBusiness will then pay out the Escrow Payment to the Buyer (Freelancer). If a Seller does not approve of the Buyer’s(Freelancer) work product, the Parties agree to be bound by the terms of Dispute Resolution Services below.

 
10. Dispute Resolution Service.

10.1 AuctionsForBusiness offers the Dispute Resolution Services only to those registered users that have elected to use the Escrow Payment feature. You agree and acknowledge that (i) AuctionsForBusiness is not providing legal services,(ii) AuctionsForBusiness will not advise you regarding any legal matters and (iii) if you desire to have legal counsel, you will seek independent legal counsel licensed to practice law in your jurisdiction and not rely on AuctionsForBusiness for any such counsel. You agree to indemnify and hold harmless AuctionsForBusiness.com and any of our affiliates against any damages or liability you may suffer as a result of using the Escrow Payments and/or Dispute Resolution Services.

10.2 Any disputes regarding arrangements between Buyer(Freelancers) and Sellers(Hirers) remain solely between Sellers(Hirers) and Buyer(Freelancers). We are not involved in any transactions between you and any other users of AuctionsForBusiness. You acknowledge and agree that AuctionsForBusiness will not be a party to any such dispute or be obligated to take any action or refrain from taking any action toward resolving any such dispute. If you have a dispute with any other users of the Site, you hereby release AuctionsForBusiness from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, related to such a dispute.

10.3 Users will have to pay for any financial damages or other damages  caused to the AuctionsForBusiness or the owners of this site, by their own personall disputes.

10.4 All Users agreed that before initiating a Law dispute, regarding products or services exchanged throught this site,  they will first contact the AuctionsForBusiness Administrators and/or owners.

11. Taxes 

11.1 Users buying/Selling services and products must ensure that all necessary tax / import regulations  in the country are followed. AuctionsForBusiness does not in any way controls the taxes that need to by paied from the transactions performed inside this site. AuctionsForBusiness includes the necessary taxes for the Site Usage payment inside those payments.

12 Project / Freelancers

12.1 AuctionsForBusiness does not control the way that different Vendors/Freelancer/Users implement the projects that are awarded to them, thus does not have any responsiblity for the quality of them or any liabilities from they use and deployment.  

12.2 User auctioning projects and RFPs are sollely responsible for any copyright/confidentiality liabilities and licencing issues regarding their project or the implementation of their project. 


13. Privacy Policy

13.1 We do not release your personal information to third parties. However, AuctionsForBusiness may disclose the User's identity and contact information, if we suspect that the seller created fraudlent store, or if requested by a government or law enforcement body, an injured third party, or as a result of a subpoena or other legal action, and AuctionsForBusiness shall not be liable for damages or results thereof and User agrees not to bring any action or claim against AuctionsForBusiness for such disclosure.

13.2 Users must be aware that any information published  inside the auctions  includuing, but not limited to technical designs, RFP details, Idea's descriptions, Copyrighted material, prototypes, unpublished books and articles, can be viewed by all users of this site and thus AuctionsForBusiness does not have any responsibility for the confidentiality of them. It is advisable to all users, to exchange such private information only through the private messageing systems. Also users exchanging such data must ensure that the appopriate confidentiality agreements (i.e. NDAs) have been signed. 


14. Information Changes

14.1 AuctionsForBusiness is a dynamic web site. As such, the information fount on it can be changed frequently. It is possible that some information could be considered offensive, harmful, or inaccurate, and in some cases may be mislabeled or deceptively labeled accidentally by AuctionsForBusiness or accidentally or purposefully by a third-party, regardless of whether such third parties are with or without a legitimate business purpose.
15.  Disclaimer of Warranties
 
YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

15.1 YOUR USE OF THE WEBSITE IS AT YOUR SOLE RISK. THE WEBSITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. AuctionsForBusiness and the legitimate owners so the site, EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO ANY WARRANTIES OF TITLE, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT AS TO THE INFORMATION, MATERIALS, CONTENT, DATA, PRODUCTS OR SERVICES ON THE WEBSITE OR THE UNINTERRUPTED ACCESS PROVIDED TO OR IN CONNECTION WITH THE WEBSITE.

15.2 You must reimburse AuctionsForBusiness for any loss, cost or expense which we suffer if someone else makes a claim against us as consequence of the use of the service by you or by someone else from your computer.


16. Limitation of Liability
 
16.1 YOU AGREE THAT AuctionsForBusiness and the legitimate owners of the site, SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, RESULTING FROM THE USE OR THE INABILITY TO USE THE WEBSITE.

16.2 By accepting these Terms and Conditions you Agree that use of the service is at user's sole risk. The service is provided on an "as is" and an "as available" basis.


17. Governing Law

17.1 This Agreement shall be interpreted and construed according to, and governed by, the laws of Greece, excluding any such laws that might direct the application of the laws of another jurisdiction. You agree to submit to the exclusive jurisdiction of the courts located within the county of Greece, Athens to resolve any legal matter arising from the terms.
